Khaitan & Co advised Indiqube Spaces Ltd and the Promoter Selling Shareholders in relation to the initial public offering of equity shares aggregating to INR 7,000.00 million comprising a fresh issue and an offer for sale by the Promoter Selling Shareholders. As per news reports, the IPO was oversubscribed by 2.54 times, with the retail investors’ portion being oversubscribed by 12.90 times, the QIB portion being oversubscribed by 14.35 times, the NII portion being oversubscribed by 8.27 times and the employee reservation portion being oversubscribed by 6.83 times.

Khaitan & Co advised Electrosteel Castings Ltd. (Electrosteel), an Indian listed company, on its acquisition of 100% share capital and voting rights of T.I.S Services S.p.A (Target), a company based in Italy, along with its four subsidiaries spread across Europe i.e., in Italy, Poland, Turkey and Croatia from TIS Group S.p.A. ("Seller"). The transaction also included lease and subsequent acquisition by the Target of a real estate facility located in Bolgare, Italy from the Seller, post-closing.

Khaitan & Co advised JM Financial Ltd and ICICI Securities Ltd, the book running lead managers in relation to initial public offering of equity shares aggregating to ₹7,596.00 million by Brigade Hotel Ventures Ltd. As per news reports, the IPO was oversubscribed by 4.48 times, with the retail investors’ portion being oversubscribed by 6.4 times, the QIB portion being oversubscribed by 5.42 times, the NII portion being oversubscribed by 1.92 times and the employee reservation portion being oversubscribed by 0.94 times. 

Khaitan & Co advised RPSG Sports Ventures Pvt Ltd (a subsidiary of RPSG Ventures Ltd) on its acquisition of a 70% equity stake in Manchester Originals Ltd (“Manchester Originals”) from the England and Wales Cricket Board (“ECB”) for a consideration of about GBP 81.2 million.

Khaitan & Co assisted Palladium Constructions Pvt Ltd for conversion of its leasehold land admeasuring 5.47 acres to freehold in nature for a consideration of INR 70 crores and in accordance with the West Bengal Land Conversion (Leasehold to Freehold) Scheme, 2022 published by the Government of West Bengal.
