The transaction involved an intra-group consolidation aimed at simplifying the corporate structure and enhancing operational efficiencies and included advice on the continuation and transfer of applicable regulatory licences and registrations in favour of the surviving entity.
 

Khaitan & Co advised FIT 3PL Warehousing Pvt Ltd (a wholly owned subsidiary of TVS Supply Chain Services Ltd) on the execution of definitive agreements for the proposed acquisition of a 100% stake in Swamy & Sons 3PL Pvt Ltd.

Khaitan & Co advised Marico Ltd in its strategic investment in Zea Maize Pvt Ltd, the company which owns the brand “4700BC” – one of India’s leading premium gourmet snacking brands. As part of the investment, Marico will acquire 93.27% of Zea Maize’s paid-up share capital from PVR INOX Ltd.

Khaitan & Co is advising India Glycols Ltd on demerger of bio pharma undertaking and sprits & biofuel undertaking into two separate listed companies, namely, Ennature Bio Pharma Limited and IGL Spirits Ltd. The scheme will unlock value for the shareholders of IGL and has been approved by the stock exchanges and SEBI and is pending approval of the NCLT and shareholders and unsecured creditors.

Khaitan & Co acted as deal counsel on the internal reorganisation of HPCL-Mittal Pipelines Ltd and HPCL- Mittal Energy Limited. The scheme of amalgamation of HMPL into HMEL was approved by the Hon’ble National Company Law Tribunal, Chandigarh. The deal team structured, drafted and argued the scheme before the Hon’ble Tribunal, end-to-end.

Khaitan & Co advised The University of Tokyo Edge Capital Partners Company Ltd (UTEC) in their investment in the Pre-Series B funding round of Aerem Solutions Pvt Ltd, a company engaged in providing full stack solutions focused on commercial and industrial solar projects for medium and small enterprises. The round was led by SMBC Asia Rising Fund and saw participation from multiple existing investors including UTEC.
