Khaitan & Co advised A&M Capital Europe in relation to the sale of its entire stake in the Ayesa Engineering Group (Ayesa) to Colliers International Group Inc (Colliers) for an estimated deal value of EUR 600 million. The transaction involved an indirect acquisition of Ayesa’s Indian subsidiary, Ayesa India Pvt Ltd (Ayesa India).
The Firm’s role included conducting the legal vendor due diligence on Ayesa India.

Khaitan & Co advised Torrent Power Ltd (Torrent) on execution of definitive documents for the acquisition of 100% of the equity stake and convertible instruments of Nabha Power Ltd (NPL) from L&T Power Development Limited, a wholly owned subsidiary of Larsen & Toubro Limited, for an enterprise value of INR 6,889 crores.
Khaitan & Co advised Lulu Group in acquisition of land admeasuring about 16 acres in Ahmedabad from Ahmedabad Municipal Corporation (AMC) at a consideration of INR 519 crores, for setting up a retail mall and other incidental development. The transaction involved advising the Client in reviewing, negotiating, revising and finalising the sale deed executed with AMC.
Khaitan & Co successfully represented Nuvoco Vistas Corporation Ltd (“NVCL”) (successful resolution applicant) in securing the discharge of Vadraj Cement Ld (“VCL”) in proceedings under the Prevention of Money Laundering Act, 2002 (“PMLA”) arising from the IL&FS Financial Services Ltd. money laundering matter.
