Khaitan & Co acted as Indian Legal Counsel to the book running lead managers, JM Financial Ltd and Motilal Oswal Investment Advisors Ltd in connection with the draft red herring prospectus filed by Duroflex Ltd in relation to its proposed initial public offering of equity shares, comprising of a fresh issue aggregating up to ₹1,836.00 million and an offer for sale of up to 22,564,569 equity shares of face value ₹ 1 each.

Khaitan & Co advised Ganesh Consumer Products Limited on their Initial public offering aggregating to INR 4,087 million, which included both a fresh issue and an offer for sale.

Khaitan & Co advised Kusumgar Ltd in relation to their pre-IPO round, which saw investments from WhiteOak, Motilal Oswal, Edelweiss and Spark. 

The Firm advised on all aspects of the transaction including advisory on structuring aspects, drafting and negotiation of transaction documents and assisting with the closing of the transaction.

Khaitan & Co advised the Book Running Lead Managers, i.e., Kotak Mahindra Capital Company Ltd, J.P. Morgan India Pvt Ltd, Morgan Stanley India Company Pvt Ltd, Axis Capital Ltd and Citigroup Global Markets India Pvt Ltd, on the filing of the updated draft red herring prospectus-I for the proposed initial public offering of equity shares of Meesho Ltd comprising of a fresh issue aggregating to INR 42,500 million and an offer for sale of up to 175,696,602 equity shares.

Khaitan & Co acted as the legal counsel to the Book Running Lead Managers i.e., Axis Capital Ltd, IIFL Capital Services Ltd, JM Financial Ltd and SBI Capital Markets Ltd, on the initial public offering of Rubicon Research Ltd (a General Atlantic backed company) aggregating to INR 13,775 million, comprising of a fresh issue and an offer for sale by General Atlantic Singapore RR Pte. Ltd., the promoter selling shareholder.

Khaitan & Co advised The Eye Foundation Ltd and its promoters on the acquisition of a minority stake by Verlinvest SA in The Eye Foundation Ltd for an aggregate consideration of USD 75 million.

The deal is Verlinvest’s largest commitment in Indian healthcare and also marks one of the largest single specialty healthcare investments by private equity in India.

The Eye Foundation Ltd, founded and headquartered in Coimbatore, operates over 25 hospitals across Tamil Nadu, Kerala and Karnataka.
