Khaitan & Co advised Kalpataru Projects International Ltd ("KPIL") on the divestment of its entire 100% equity shareholding in Vindhyachal Expressway Pvt Ltd (“VEPL”), a wholly-owned special purpose vehicle holding a long-term concession for the development, operation and maintenance of an approximately 89.30 kilometre four-lane road project on National Highway-7 connecting Rewa and Hanumana at the Madhya Pradesh–Uttar Pradesh border, implemented on a toll-based public-private partnership model. The transaction resulted in KPIL's complete exit from the project through the transfer of its entire ownership interest in VEPL.
The Firm provided end-to-end transaction support, including transaction structuring, documentation, negotiations, closing-related assistance, and regulatory advice.
