Khaitan & Co advised and represented Tomcar Holding Company LLC on its joint venture with JSW Sarbloh Motors Pvt Ltd to manufacture and assemble the Tomcar TX range of tactical all-terrain vehicles (ATVs) in India, with a focus to cater to Indian defence requirements and also supply the products to other left-hand drive and right-hand drive markets in Asia and beyond.
Khaitan & Co advised Edelweiss Financial Services Ltd, Edelweiss Asset Management Ltd, and Edelweiss Trusteeship Company Ltd on WestBridge Capital’s proposed acquisition of a 15% stake in each of Edelweiss Asset Management Ltd (i.e., the asset manager of Edelweiss Mutual Fund) and Edelweiss Trusteeship Company Ltd (i.e., the trustee of Edelweiss Mutual Fund), for a consideration of INR 450 crores (approximately USD 51.4 million).
Khaitan & Co represented TPG Growth in its $150 million investment in Tessolve, a leading semiconductor engineering services company. Founded in India in 2004, Tessolve was acquired by Hero Electronix in 2016.
Tessolve is a partner to 18 of the world’s top 20 semiconductor firms and employs over 3,500 engineers across offices. Tessolve plans to use the funds to strengthen global delivery centres, expand advanced test labs, and enhance its end-to-end semiconductor engineering capabilities.
Khaitan & Co advised Mr Rakesh Gangwal and The Chinkerpoo Family Trust on the sale of 1.96% stake, valued at approximately USD 500 million (approximately INR 4,420 crores) in InterGlobe Aviation Ltd.
