Khaitan & Co advised JSW Paints Ltd in relation to a transaction for acquisition of a stake up to 74.76% in Akzo Nobel India Ltd (ANIL) from Akzo Nobel N.V. and its affiliates for a consideration of ~INR 9,403 crores, subject to certain closing adjustments ("Proposed Transaction"). The Proposed Transaction is subject to the approval of the Competition Commission of India and the completion of a mandatory tender offer to the public shareholders of ANIL. 

Khaitan & Co advised SLK Software Pvt Ltd (“SLK”) and its promoters on its acquisition by TPG backed Altimetrik. The transaction closure is subject to customary conditions. 

The Firm advised on the deal structuring process, vendor legal due diligence, drafting, negotiation and finalization of definitive documents.

Khaitan & Co advised ABC Impact (a member of Temasek Trust Asset Management) on leading the INR 431 crores round of investment in Vistaar Financial Services Pvt Ltd, through its fund, IMP2 Catalyst Pte Ltd.

The Firm (a) assisted in the negotiation and finalisation of the transaction documents; and (b) conducted a legal due diligence on Vistaar Financial Services Pvt Ltd.

Khaitan & Co advised Insight Partners on its investment in Open Destinations – Rail.

Khaitan & Co advised Perfios Software Solutions Pvt Ltd on 100% acquisition of IHX Pvt Ltd.

Khaitan & Co advised Knest Manufacturers LLP on an INR 300 crores primary investment by Lighthouse India Fund IV AIF.

Khaitan & Co advised JM Financial (and its clients) on its investment of approximately INR 700 crores in Knowledge Realty Trust (a Blackstone backed REIT) as part of a pre-IPO fund-raising round of INR 1400 crores.

This is India's maiden REIT pre-IPO round.

The Firm assisted JM Financial (and its clients) on the negotiation and finalization of the transaction documents for the investment.

Khaitan & Co advised Mahaveer Finance India Limited on its Series C funding from Elevation Capital, through which the latter acquired a minority stake in the company. The round also saw participation from First Bridge Investment Managers (P) Ltd and BanyanTree Private Equity. 

Khaitan & Co advised TVS Capital on its investment in Saarathi Finance and Credit Pvt Ltd’s INR 475 crores Series A funding round, which was led by TVS Capital, Paragon Partners, Lok Capital, and Evolvence India.

Khaitan & Co advised CLR Facility Services Pvt Ltd (“CLR”) and its promoters on raising capital from British International Investment plc., for an overall deal value of ~ USD 15 million.
