Khaitan & Co advised Systra on Indian aspects of the deal in relation to acquisition of 100% of the share capital of Ardanuy Ingeniería S.A., a Spanish company renowned for its expertise in rail systems, metro, and urban transport with branches and subsidiaries in South America, India, and the Baltic countries. The acquisition will enable Systra to strengthen its technical expertise in the field of transport systems and infrastructure and expand its footprint across Europe, Latin America, India and the Baltics. 

Khaitan & Co advised TVS Motor (Singapore) Pte Ltd on the acquisition of the entire stake in Engines Engineering SpA, an Italian automotive design and engineering company, from ACT SrL. This acquisition is aligned with TVS Motor Company's initiative of establishing a Global Centre of Excellence for Design and Engineering in Italy, reinforcing its long-term vision to deliver premium, future-ready mobility solutions across international markets. 

Khaitan & Co advised Kaynes Semicon Pvt Ltd (Company) and its controlling shareholder (i.e., Kaynes Technology India Ltd) on the strategic investment by US Technology International Pvt Ltd (UST) for minority stake in the Company. 

This strategic partnership between the Company and UST is expected to play a key role in shaping up the future of semiconductor engineering in India and making India a leading semiconductor hub.

Khaitan & Co advised Crest Ultrasonics, a global industrial technology manufacturer, on its acquisition by Stellex Capital Management, a New York-based private equity firm. 

The Firm advised Crest Ultrasonics on the India leg of the acquisition, including structuring and regulatory aspects.

Khaitan & Co  advised Kedaara Capital (“Kedaara”) in relation to its investment into Axtria, Inc. and its subsidiaries (“Axtria”), a leading Agentic AI-first data analytics and cloud software company serving the global life sciences industry, across the commercial and clinical spectrum. Structured as a combination of secondary investment and company-sponsored buyback, the transaction delivers total liquidity of USD 240 million.

Khaitan & Co acted as legal counsel to the Issuer and the Promoter Selling Shareholder in connection with the draft red herring prospectus filed by the Lalbaba Engineering Ltd in relation to its proposed initial public offering of equity shares aggregating up to 10,000 million comprising of fresh issue size aggregating up to 6,300 million and offer for sale size aggregating up to 3,700 million.

Khaitan & Co advised and assisted Vertex Ventures on leading the Series B funding round of GoKiwi Tech Pvt Ltd.

Khaitan & Co advised R.R. Donnelley & Sons Company on its joint venture with Pragati Pack (India) Pvt Ltd for setting up a manufacturing unit in Hyderabad, Telangana for printing and packaging products. R.R. Donnelley is an American integrated communications company that provides marketing and business communications, commercial printing, and related services.

Khaitan & Co advised Baird Capital on Indian law aspects on its $53 million investment in EvoluteIQ, a native AI platform that can be used to automate end-to-end processes across any industry. The investment positions EvoluteIQ to accelerate its global expansion and cement its leadership in the enterprise-grade, agentic AI-led automation space.
