On 3 October 2025, the Reserve Bank of India (RBI) issued a landmark circular bearing reference number RBI/2025-26/90 A.P. (DIR Series) Circular No. 13 (the Circular), allowing persons resident outside India (PROI) to invest their surplus rupee balances in corporate debt securities issued by Indian companies through Special Rupee Vostro Accounts (SRVA) maintained with Authorised Dealer (AD) banks.

The bonds will be listed on the Singapore Stock Exchange. The net proceeds from the offering of the Bonds will be used to repay existing debts and for general corporate purposes. Khaitan & Co advised Torrent Power on the acquisition of 100% share capital of NewZone Power Projects Pvt Ltd, 49% share capital of NewZone India Pvt Ltd and indirect acquisition of 51% of share capital of NewZone India Pvt Ltd. NewZone India Pvt Ltd is involved in the proposed development of a coal-based thermal power project located at Anuppur, Madhya Pradesh.
Khaitan & Co advised one of the Investors (Investor) in connection with one of India’s largest asset backed securitisation issuances, involving investment in pass through certificates (PTCs), backed by securitised receivables aggregating up to INR 21,000 crores, issued by three trusts, namely, Radhakrishna Securitisation Trust, Shivshakti Securitisation Trust and Siddhivinayak Securitisation Trust and listed on the BSE and NSE.
