Khaitan & Co advised DWS Group GmbH & Co. KGaA (“DWS”) in relation to its proposed acquisition of 40% of Nippon Life India AIF Management Ltd (“NAIF”), currently a wholly owned subsidiary of Nippon Life India Asset Management Ltd (“NAMI”) for a consideration of approx. INR 733 crores by subscribing to equity shares to be issued by NAIF by way of preferential allotment (“Proposed Transaction”).

Khaitan & Co advised VINCI Highways, a subsidiary of VINCI Concessions, in relation to 100% acquisition of the Safeway Concessions by Concessoc 41 (part of VINCI Concessions) from Macquarie Asia Infrastructure Fund 2, managed by Macquarie Asset Management. Safeway Concessions platform comprises of nine toll road assets across Andhra Pradesh and Gujarat, totalling nearly 700 km along with an integrated O&M entity.  Completion is subject to customary conditions and regulatory approvals.

Khaitan & Co advised consortium comprising of Aditya Birla Group, Times of India Group, Bolt Ventures and Blackstone on the proposed acquisition of Royal Challengers Sport Pvt Ltd from United Spirits Ltd, in a transaction valuing the business at ~USD 1.8 billion. 

Khaitan & Co advised EC-Council Holding Pte. Ltd., a global leader in cybersecurity education and creator of Certified Ethical Hacker (CEH) credential, on its investment of more than $20 million in Firecompass Technologies Inc. and its Indian Subsidiary Firecompass Technologies Pvt Ltd, the AI powered offensive security platform.

Khaitan & Co advised Advent International on the sale of Encora Holdings to Coforge Ltd at a value of USD 2.35 billion. 

Khaitan & Co advised India-based PB Healthcare Services Pvt Ltd, in relation to its acquisition of Noida-based Muskan Medical Centre Pvt Ltd (dba as Neo Hospital).

Khaitan & Co advised Hexaware Technologies Ltd, a listed Indian entity, and its affiliate, in relation to 100% acquisition of Target Entities (i.e., Cybersolve (I) India Pvt Ltd, Identity and Access Solutions LLC, IT Gliterz LLC, Identity and Access Solutions Canada, Inc.) from IAAS Holdings LLC, IT Gliterz Holdings LLC, Anushree Agarwal and Neha Agarwal for a total consideration of USD 66 million.
