Khaitan & Co advised and assisted Baldor Technologies Pvt Ltd and its promoter in relation to its Series F fund-raise led by Neo Secondaries Fund, with participation from existing investors (including Blume Ventures, Analog Capital, Elev8, IndiaMART and Kae Capital) for a total consideration of INR 476 crore, in accordance with the terms and conditions set out in the definitive agreements.
The Firm acted as the transaction counsel to Baldor Technologies Private Limited and its promoter, and our responsibilities were as follows
(a) Drafting, negotiating, finalising and execution of the share purchase agreements, share subscription agreement and shareholders agreement;
(b) Assisting and advising on all execution related formalities; and
(c) Assisting and advising on completion of conditions precedents set out in the definitive agreements and closing related formalities.
